User Terms
Welcome to gmtrade.xyz ("Platform," "we," "us," or "our"). These User Terms and any other documents incorporated herein by reference (collectively, "Terms") to you ("User," "you," or "your") govern: (a) your access to and use of gmtrade.xyz ("Site," or "Interface"); and (b) all related services, features, content, and functionalities. PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. PLEASE DO NOT USE THE SITE OR INTERFACE IF YOU DISAGREE WITH ANY OF THESE TERMS.
1. USE OF THE SITE AND INTERFACE
The gmtrade.xyz site is for informational purposes only. Gmtrade.xyz provides information and resources about the fundamentals of the decentralized non-custodial protocol called the GMTrade Protocol ("Protocol," or "GMTrade DApp"). Gmtrade.xyz is not an available access point to the GMTrade Protocol. You acknowledge and understand that any decisions or actions you take based on the information provided on the Site are solely at your own risk and discretion.
Gmtrade.xyz is not part of any transaction on the blockchain networks underlying the GMTrade Protocol. We do not have possession, custody, or control over any crypto assets appearing on the Interface; and we do not have possession, custody, or control over any User's funds. We do not store, send, receive, or have the ability to recover any crypto assets. You understand that when you interact with any GMTrade Protocol smart contracts, you always maintain complete and sole control over your crypto assets and private keys. We do not have access, control, or have the ability to recover your private keys or crypto assets under any circumstances. You are solely responsible for securing and maintaining your private keys and any associated crypto assets.
1.1 As a condition to accessing or using the Site or Interface, you represent and warrant to gmtrade.xyz the following, and acknowledge that we are relying on these representations and warranties:
1.1.1 If you are an individual person, you: (a) are of legal age in the jurisdiction in which you reside; (b) have the legal capacity to enter into these Terms and be bound by them; and (c) are not accessing the Site or Interface on behalf of any other person or entity;
1.1.2 If you are an entity: (a) you are duly organized, validly existing and in good standing under the laws of your jurisdiction of organization; (b) the person accepting these Terms has the legal authority to accept these Terms on that entity's behalf;
1.1.3 You are not a U.S. Person (as defined in Regulation S under the Securities Act of 1933, as amended);
1.1.4 You are not a resident, national, agent, or person subject to the jurisdiction of any country to which the United States, the United Kingdom, or the European Union embargoes goods or imposes similar sanctions (collectively, "Restricted Territories");
1.1.5 You are not subject to economic or trade sanctions administered or enforced by any governmental authority, and you are not listed on any sanctions list or equivalent maintained by the United States government, the United Kingdom government, the European Union, or the United Nations, including without limitation the U.S. Office of Foreign Asset Control Specifically Designated Nationals and Blocked Person List (collectively, "Sanctions Lists Persons");
1.1.6 You do not, and will not: (a) transact with any Restricted Person or Sanctions Lists Person; or (b) cause any Restricted Person or Sanctions Lists Person to violate any sanctions restrictions;
1.1.7 You do not, and will not, use VPN software, proxy servers, or any other privacy or anonymization tools or techniques, or any other means, to circumvent, or attempt to circumvent, any restrictions that apply to your access and use of the Site or Interface; and
1.1.8 Your access and use of the Site or Interface: (a) is not prohibited by and does not violate any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, letter, or other directive, requirement, guidance, or guideline, published or in force which applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, letter, order, judgment, directive or other requirement, guidance or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having jurisdiction over gmtrade.xyz or you as otherwise duly enacted, enforceable by law, the common law or equity (collectively, "Applicable Laws"); (b) does not assist or facilitate any violation of Applicable Laws; and (c) does not contribute to or facilitate any illegal activity.
1.2 As a condition to accessing or using the Site or Interface, you acknowledge, understand, and agree to the following:
1.2.1 The Site or Interface may be inaccessible or inoperable at any time for various reasons, including but not limited to: (a) equipment malfunctions or technical issues; (b) scheduled or unscheduled maintenance procedures or repairs by gmtrade.xyz or any of its suppliers or contractors; (c) circumstances beyond gmtrade.xyz's reasonable control or foresight; (d) disruptions, delays, and temporary or permanent unavailability of the underlying blockchain infrastructure; (e) unavailability or failure of third-party service providers, external partners, or other dependencies for any reason; or (f) force majeure events;
1.2.2 We reserve the right, in our sole discretion, to disable, restrict, or modify access to the Site or Interface at any time in the event of any breach of these Terms, including, without limitation, if we reasonably believe any of your representations or warranties may be untrue or inaccurate, or we deem necessary to maintain the security and integrity of our services. You acknowledge and agree that gmtrade.xyz will not be liable for any losses, damages, or expenses you may incur as a result of or in connection with the Site or Interface being inaccessible at any time or for any reason;
1.2.3 The Interface may evolve or change over time, which means third parties may apply changes, replace, or discontinue (temporarily or permanently) the access to the Interface at any time in their sole discretion without notice to you;
1.2.4 Any pricing, market data or other information provided on the Site or Interface: (a) is for informational purposes only; (b) does not represent an offer or solicitation of an offer; (c) does not constitute any form of investment advice, financial advice, trading advice, or any other type of advice; and (d) does not constitute any form of recommendation to enter into a transaction with gmtrade.xyz;
1.2.5 Gmtrade.xyz does not act as a broker, intermediary, agent, advisor or in any fiduciary capacity for you. No communication or information provided by gmtrade.xyz shall be considered as advice or a recommendation;
1.2.6 You are solely and entirely responsible for all activities conducted through your use of the Site or Interface, including but not limited to verifying any information or transaction details before taking action; transferring any of your digital assets; and ensuring compliance with all Applicable Laws in your jurisdiction;
1.2.7 To the fullest extent not prohibited by Applicable Laws, we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, you hereby irrevocably disclaim, waive, and eliminate those duties and liabilities;
1.2.8 You are solely responsible for reporting and paying any taxes applicable to your use of the Site or Interface; and
1.2.9 You acknowledge and agree that: (a) we have no control over, or liability for, the delivery, quality, safety, legality, or any other aspect of any digital assets that you may transfer to or from a third party; (b) we are not responsible for ensuring that a third party with whom you transact completes the transaction, is authorized to do so, or for verifying its identity, legitimacy, or performance; and (c) you bear all risks associated with your transactions in digital assets using the Site or Interface, including but not limited to transaction failure, loss of funds, or fraud.
2. FEES AND TRANSACTION COSTS
2.1 You are solely responsible for paying all fees necessary for transactions on certain blockchain networks, including but not limited to: (a) gas fees; (b) network fees; (c) trading-related fees; and (d) any other fees displayed on the Site or Interface at the time of your use.
2.2 These fees are paid directly to the blockchain networks and/or third-party service providers. Gmtrade.xyz does not receive, collect, or process any fees for blockchain transactions or for the use of the Site or Interface.
2.3 Fee amounts may vary significantly based on network conditions, transaction complexity, or other factors outside of our control. We make no guarantees regarding the amount of fees you may incur.
3. NO PROFESSIONAL ADVICE OR FIDUCIARY DUTIES
3.1 Nothing provided through the Site or Interface constitutes legal, financial, business, tax, or any other form of professional advice.
3.2 Before engaging in any activity related to the Site or Interface, you should consult with a qualified professional advisor(s).
3.3 All information provided through the Site or Interface, and any other information that we make available at any time, including but not limited to blog posts, articles, links to third-party content, discord content, social media content, news feeds, tutorials, tweets, videos, and any other materials, are for informational purposes only and should not be relied upon by you to make any decisions.
3.4 These Terms are not intended to, and do not, create or impose any fiduciary duties on us.
4. PROPRIETARY RIGHTS
4.1 Gmtrade.xyz owns and retains all rights, names, logos, and other marks used on the Site or Interface, including but not limited to any copyrights in and to any content, code, data, or other materials that you may access or use on or through the Site or Interface. However, the source code for the GMTrade Protocol and the Interface (gmtrade.xyz) deployed on IPFS is open-sourced. Except as expressly set forth herein, your use of or access to the Site or Interface does not grant you any ownership or other rights therein.
4.2 Gmtrade.xyz may use and share your comments, bug reports, ideas, suggestions or any other feedback (collectively, "Feedback") that you may provide. You agree that gmtrade.xyz is free to use or not use any Feedback we receive from you as we see fit, including copying and sharing such Feedback with third parties, with no obligation to you.
5. MODIFICATION, SUSPENSION, AND TERMINATION
5.1 Gmtrade.xyz reserves the right, at our sole discretion, at any time and without prior notice to you, to modify, suspend, or disable (temporarily or permanently) your access to the Site or our subdomain to the Interface, in whole or in part, for any reason whatsoever, including but not limited to violations of these Terms. Upon any such termination of your access, your right to access the Site or Interface through our subdomain will immediately cease. However, it would remain accessible through third parties as we do not host or own its underlying code. You acknowledge and agree that gmtrade.xyz shall not be liable for any losses, damages, or expenses you may incur as a result of any such modifications, suspensions, or termination of access for any reason.
5.2 Gmtrade.xyz may revise these Terms from time to time. We will notify you by updating the date at the top of the Terms and maintaining a current version. The most current version of the Terms will always be at https://docs.gmtrade.xyz/legal/user_terms. Any modifications will become effective immediately upon posting. By continuing to access or use the Site or Interface after those revisions become effective, you agree to be bound by the revised Terms.
6. RISKS
6.1 By accessing transactions, you are assuming the risks associated with the use of blockchain technology, smart contracts, cryptocurrencies and related technologies. Gmtrade.xyz does not own or control any underlying software through which blockchain networks are formed. The software underlying blockchain networks is open-source so anyone can use, copy, modify, and distribute it. By accessing and using the Interface, you acknowledge, understand and agree that:
6.1.1 Gmtrade.xyz is not responsible for the operation of the open-source software and networks underlying the Interface;
6.1.2 No guarantees are made regarding the functionality, security, or availability of that software and networks; and
6.1.3 The underlying networks are subject to sudden changes in operating rules, such as those commonly referred to as "forks," which could materially affect the Interface. You are solely responsible for securing your private keys. We do not have access to your private keys. Losing control of your private keys will permanently and irreversibly deny you access to any blockchain-based network. Neither gmtrade.xyz nor any other party will be able to retrieve or restore your lost private keys or digital assets. If your private keys are lost, you will not be able to transfer your digital assets to any blockchain address or wallet. If this occurs, you will not be able to realize any value or utility from the digital assets you may hold.
6.2 Gmtrade.xyz has no control over and is not responsible for the content of any third parties, including but not limited to information, materials, products, or services. Any third-party resources or promotions related to your access and use of the Interface are not endorsed, guaranteed or backed by gmtrade.xyz, nor does gmtrade.xyz assume any responsibility for them. Your access to or use of any such third-party resources or participation in any such third-party promotions is entirely at your own risk; these Terms do not apply to your dealings or relationships with any third parties. You expressly release gmtrade.xyz from all liability arising from your use of any such third-party resources or participation in any such third-party promotions.
6.3 You understand that the Solana blockchain is under ongoing development, which may present technological and security risks when using the Interface, in addition to inherent uncertainties regarding digital assets and transactions therein. You acknowledge that the transaction costs on the Solana blockchain are variable and may increase at any time without prior notice, which may significantly impact your activities on the blockchain, resulting in unexpected price fluctuations or increased costs when using the Interface.
6.4 All transactions entered into in connection with the Interface are final and irreversible; no refunds, reversals, or cancellations are possible. You acknowledge and agree that you will access and use the Interface at your own risk.
6.5 Gmtrade.xyz must comply with all Applicable Laws, which may require us to take certain actions or disclose information to government agencies upon their request; such actions or disclosures may occur without notice to you, and may adversely affect your interests or transactions.
6.6 You hereby expressly acknowledge and agree that: (a) gmtrade.xyz bears no responsibility or liability for the risks set forth in Section 6; and (b) you irrevocably waive, release and discharge all claims related to any of the matters set forth in Section 6, whether known or unknown to you, against gmtrade.xyz, its affiliates, and their respective shareholders, members, directors, officers, employees, agents, representatives, suppliers, and contractors.
7. PROHIBITED USES AND ACTIVITIES
7.1. You agree not to engage in any of the following prohibited activities. The specific activities set forth below are representative but not exhaustive, and we reserve the right to determine whether any conduct violates these Terms. By using the Site or Interface, you confirm that you will not do any of the following:
7.1.1 Engage in, promote, or facilitate illegal activities, including but not limited to money laundering; terrorist financing; tax evasion; trading in illegal drugs, contraband, counterfeit goods, or illegal weapons;
7.1.2 Engage in transactions involving items that infringe or violate any copyright, trademark, patent, right of publicity, privacy, or any other proprietary rights of gmtrade.xyz;
7.1.3 Engage in improper or abusive trading practices, including but not limited to (a) any fraudulent act or scheme to defraud, deceive, trick, or mislead; (b) front-running or trading ahead of another user of the Site of Interface; (c) fraudulent trading; (d) accommodation trading; (e) wash trading or self-dealing; (f) fictitious transactions; (g) pre-arranged or non-competitive transactions; (h) price manipulation or market cornering; or (i) coordinated trading or collusion;
7.1.4 Upload or transmit any malicious codes, including viruses, worms, trojans, time bombs, cancelbots, spiders, malware, or any other types of malicious codes that will or may be used in any way that will affect the functionality or operation of the Site or Interface;
7.1.5 Use the Site or Interface in any way that is, in our sole discretion, libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, stalking, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable or likely or intended to incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others;
7.1.6 Harass, abuse, or harm other persons or entities, including gmtrade.xyz's affiliates and associated persons, collaborators, and service providers;
7.1.7 Impersonate other users of the Site or Interface or otherwise misrepresent yourself; or
7.1.8 Engage, attempt to engage, encourage, induce, or assist any third parties in engaging in any of the activities prohibited under Section 7 or any other provisions of these Terms, or attempt to do so yourself.
8. DISCLOSURES AND DISCLAIMERS
8.1 Gmtrade.xyz is solely an informational site for the GMTrade Protocol. Gmtrade.xyz does not operate any exchange platform or provide trade execution services or clearing services, and has no oversight, involvement, or control concerning your transactions using the Site or Interface. All transactions between users of the Site or Interface are executed peer-to-peer directly between the users' blockchain addresses through a third-party developed open-source smart contract.
8.2 You are solely responsible for compliance with all Applicable Laws governing your Perpetual Contracts. As a result of restrictions under the Commodity Exchange Act and the regulations promulgated thereunder by the U.S. Commodity Futures Trading Commission ("CFTC"), no U.S. Person may enter into Perpetual Contracts using the Interface.
8.3 You understand that gmtrade.xyz is not registered or licensed by any regulatory agency or authority. No such agency or authority has reviewed or approved the use of the Site or Interface.
8.4 You agree that the Site and the Interface are provided on an "AS IS" and "AS AVAILABLE" basis. Gmtrade.xyz makes no warranties, guarantees, or representations of any kind, whether express, implied, or statutory, in connection with the Site or Interface. This includes, but is not limited to, any assurances regarding availability, performance, security, functionality, accuracy, completeness, reliability, or trading outcomes. You acknowledge and assume all risks associated with your access to or use of the Site or Interface, including but not limited to technical performance, data integrity, or financial results, and gmtrade.xyz shall not be liable for any resulting losses or damages.
9. LIMITATION OF LIABILITY
9.1 In no event shall gmtrade.xyz, or any of its affiliates, suppliers, or contractors, or their respective stockholders, members, directors, officers, managers, employees, attorneys, agents, representatives, suppliers, or contractors be liable for any direct, indirect, incidental, consequential, special, punitive or similar damages or liabilities whatsoever (including but not limited to damages for loss of fiat, assets, data, information, revenue, opportunities, use, goodwill, profits or other business or financial benefit) arising out of or in connection with the Site or Interface, or other item provided by or on behalf of gmtrade.xyz, whether under contract, tort (including negligence), civil liability, statute, strict liability, breach of warranties, or under any other theory of liability, and whether or not we have been advised of, knew of or should have known of the possibility of such damages and notwithstanding any failure of the essential purpose of these Terms or any limited remedy hereunder, nor is gmtrade.xyz in any way responsible for the execution or settlement of transactions between users of the Site or Interface.
9.2 Notwithstanding anything to the contrary, gmtrade.xyz's total aggregate liability arising out of or in connection with the Site or Interface shall not exceed one thousand Singapore Dollars (SGD 1,000.00). This cap applies collectively to all claims, actions, and causes of action of every kind and nature.
9.3 The limitations of liability in Section 9 are fundamental elements of the basis of the bargain between gmtrade.xyz and you. The Site and Interface would not be provided without such limitations. These limitations will apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.
10. INDEMNIFICATION
10.1 You agree to defend, indemnify, and hold harmless gmtrade.xyz and its affiliates, members, managers, employees, attorneys, representatives, suppliers, and contractors from and against any claims, demands, lawsuits, actions, proceedings, investigations, damages, losses, liabilities, costs, or expenses, including but not limited to reasonable attorneys' fees, arising out of or in connection with: (a) your access to, use of, or any conduct relating to the Site or Interface; (b) your violation of these Terms; (c) your misuse of the Site or Interface, or any smart contract or script related thereto; (d) your violation of any Applicable Laws; (e) your infringement of any third-party rights, including any intellectual property right, publicity, confidentiality, property, or privacy right; (f) your use of third-party products, services, or websites; (g) any misrepresentation you make; or (h) any conduct or content you provide.
10.2 Gmtrade.xyz reserves the right to assume, at your expense, the exclusive control and defense of any matter subject to indemnification by you, including but not limited to selecting and retaining counsel of its choice, or making any decisions regarding litigation strategy or settlement.
10.3 In connection with any indemnified matter, you agree to: (a) cooperate fully with gmtrade.xyz's defense; (b) provide all requested information and assistance; (c) not make any admissions or statements without our express prior written consent; (d) not settle any claim without our express prior written consent; and (e) promptly notify us of any relevant claims or proceedings.
11. DISPUTE RESOLUTION & ARBITRATION
Gmtrade.xyz will use its best efforts to resolve potential disputes through informal, good faith negotiations. If a potential dispute arises, you must contact us by sending a written notice of your claim ("Notice") to gmtrade.xyz through our official communication channels. The Notice must: (a) describe the nature and basis of the claim in reasonable detail; (b) set forth the specific relief sought; and (c) include your contact information for further communications regarding the dispute. Our notice to you will be similar in form to that described above and will be sent to the contact information you provided. If you and gmtrade.xyz cannot reach an agreement to resolve the claim within sixty (60) days after receipt of the initial Notice, then you and gmtrade.xyz agree to resolve the potential dispute according to the arbitration process set forth below.
Any claim or controversy arising out of or in connection with the Site, the Interface, or these Terms, or any other acts or omissions for which you may contend that we are liable, including but not limited to any claim or controversy as to arbitrability ("Dispute"), shall be finally and exclusively settled by arbitration under the Corte Civil y Mercantil de Arbitraje ("CIMA"). You understand and agree that you are required to resolve all Disputes by binding arbitration, and you waive any rights to maintain other actions, including court actions. The arbitration shall be confidential and conducted before a single arbitrator, who shall be selected pursuant to the CIMA rules. The arbitration will be held in Madrid, Spain, unless you and we both agree in writing to hold it elsewhere. The arbitration shall be conducted in English. Unless we agree otherwise in writing, the arbitrator may not consolidate your claims with those of any other party. The arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
Any claim arising out of or in connection with these Terms, the Site, or the Interface must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred, which means that you and gmtrade.xyz will not have the right to assert the claim. For purposes of this section, a claim arises when a party knew, or reasonably should have known, of the existence of the claim, regardless of whether damages have been fully incurred or discovered. This limitation period applies notwithstanding any longer limitation period that might otherwise be applicable under Applicable Laws.
12. GOVERNING LAW
The interpretation and enforcement of these Terms, and any dispute related to these Terms, the Site, or the Interface, will be governed by, construed, and enforced in accordance with the laws of the Commonwealth of The Bahamas, as applicable, without regard to its conflict of law provisions.
13. GENERAL INFORMATION
13.1 Any right or remedy of gmtrade.xyz set forth in these Terms is in addition to, and not in lieu of, any other right or remedy whether described in these Terms, under Applicable Laws, at law, or in equity. The failure or delay of gmtrade.xyz in exercising any right, power, or privilege under these Terms shall not operate as a waiver thereof. No single or partial exercise of any right, power, or privilege by gmtrade.xyz shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
13.2 The following sections of these Terms will survive any termination or expiration of your access to the Site or Interface, regardless of the reasons for such termination or expiration, in addition to any other provision which by law or by its nature should survive: Sections 3 (No Professional Advice or Fiduciary Duties), 4 (Proprietary Rights), 5 (Modification, Suspension, and Termination), 6 (Risks), 7 (Prohibited Uses and Activities), 8 (Disclosures and Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution & Arbitration), 12 (Governing Law), and 13 (General Information). Such termination or expiration shall not affect the validity of any rights, obligations, or liabilities that have accrued under these Terms prior to termination or expiration.
13.3 If any provision of these Terms is held to be invalid, void, or unenforceable for any reason, such provision shall not affect the validity or enforceability of any other provisions of these Terms, which means the remaining provisions shall remain in full force and effect.
13.4 Gmtrade.xyz will have no responsibility or liability for any failure or delay in performance of the Site or Interface, or any loss or damage that you may incur, due to any circumstance or event beyond our reasonable control, including but not limited to: (a) natural disasters, acts of God, fire, flood, earthquake, or extraordinary weather conditions; (b) war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest; (c) government orders, laws, actions, restrictions, or requests; (d) embargoes or blockades; (e) national or regional emergencies; (f) strikes, labor stoppages or slowdowns, or other industrial disturbances; (g) telecommunications, power, or network failures; (h) pandemic or epidemic; (i) shortage of adequate power or transportation facilities; (j) blockchain network failures, forks, or congestion; (k) equipment or software malfunctions; or (l) other similar events beyond our reasonable control.
13.5 You may not assign or transfer any right to use the Site, the Interface, or any of your rights or obligations under these Terms, without our express prior written consent, including by operation of law or in connection with any change of control. Any of your attempted assignment or transfer in violation of this section shall be null and void. We may assign or transfer any or all of our rights or obligations under these Terms, in whole or in part, without notice to you or obtaining your consent or approval.
13.6 These Terms contain the entire agreement between you and gmtrade.xyz and supersede all prior and contemporaneous understandings between the parties regarding the Site and the Interface.
13.7 In the event of any conflict between these Terms and any other agreement you may have with us, these Terms will control, unless the other agreement specifically identifies these Terms and declares that the other agreement supersedes these Terms.
13.8 The section headings in these Terms are for convenience only and have no legal or contractual effect.
13.9 You agree that, except as otherwise expressly provided in these Terms, there shall not be any third-party beneficiaries to these Terms other than the Indemnified Parties.
