Referral Terms
Welcome to GMTrade Referral Program. These Referral Terms and any other documents incorporated herein by reference (collectively, "Terms," or "Referral Terms") to you ("you," "your," "Referrer," or "Affiliate") govern your participation in the GMTrade Referral Program ("Referral Program"). PLEASE DO NOT USE THE REFERRAL PROGRAM IF YOU DISAGREE WITH ANY OF THESE TERMS.
1. USE OF THE REFERRAL PROGRAM
All these contents are for informational purposes only.
1.1 The Referral Program allows you to promote the GMTrade DApp, thereby driving traffic to it, whereby you may earn a portion of the fees generated ("Rebates") if a person that is not you ("Trader," "Referred User," or "Referee") trades in the GMTrade DApp after being referred to it from a unique hyperlink ("Referral Link") or manually input code ("Referral Code"). The Trader will benefit from a fee reduction ("Discount") associated with the Referrer's tier.
1.2 Referral attribution may occur through the following methods: (a) automatic attribution, whereby a referral is recorded when a person clicks on a Referral Link; and (b) manual attribution, whereby a referral is recorded when a person manually enters a Referral Code. Upon clicking a Referral Link, the Trader's browser will save the associated Referral Code, which will be assigned to the Trader's first transaction. At any given time, only one Referral Code may be active per address. Each address may be linked to only one Referral Code, and each address has the ability to generate a unique Referral Code. A single Referral Code may be used by multiple addresses, and Referral Codes are transferable. However, self-referral and mutual referrals are strictly prohibited.
1.3 The success of a referral is subject to the following conditions: (a) the proper use of the Referral Link or Referral Code; (b) the execution of valid transactions by the Trader; and (c) the successful execution of smart contracts. The Referral Program makes no guarantees regarding the attribution of referrals, the amount of Rebates earned, or the continued availability of the Referral Program.
2. OBLIGATIONS
2.1 As an Affiliate, GMTrade DApp provides you with the Referral Links and Referral Codes necessary to promote the GMTrade Protocol. You acknowledge and agree that it is your sole responsibility to indicate the correct Referral Code. You must use only the officially provided Referral Links or Referral Codes, and you are responsible for ensuring that all promotional materials are accurate. You may promote the GMTrade Protocol in any lawful manner, provided that such promotions are truthful and not misleading. All promotional activities must comply with Applicable Laws, and no false or deceptive marketing practices are permitted.
2.2 Gmtrade.xyz is not responsible for: (a) lost sales or lost opportunities to earn Rebates due to any cause, including but not limited to technical difficulties, system overloads, Solana blockchain network congestion or failures, or issues with smart contract execution; or (b) tracking Rebates, Discounts, or any other data, as all such tracking is handled by independent smart contracts. Gmtrade.xyz has no ability to modify or intervene in tracking, and you are solely responsible for verifying your own earnings and status.
2.3 You will be excluded from the Referral Program, following the directives of the GT holders: (a) if you use any language that is libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, stalking, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable, or that is likely or intended to incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others; or (b) if you attempt any form of gaming through self-referrals, mutual referrals, multiple account creation, manipulation of Referral Program, or any other form of fraudulent activities. All exclusions from the Referral Program are determined by the GT holders, whose decisions are final and binding. There will be no refunds or appeals process for any exclusions.
3. REBATES AND DISCOUNTS
3.1 Rebates are calculated based on the Referrer's VIP level, with Referrers earning up to 10% GT rebates at the highest VIP tier and Referees receiving a fixed 10% discount on trading fees regardless of the Referrer's VIP tier. The total fee discount is determined by the formula "Final Discount = 1 - (1 - VIP Discount) × (1 - Referred Discount)". Rebates apply only to future transactions, and no retroactive rebates will be issued. All Rebates are processed automatically via smart contracts.
3.2 The VIP System consists of multiple VIP levels with increasing benefits, where each level has specific trading volume requirements, and higher levels offer increased referral rewards. Complete VIP and referral information is available at https://docs.gmtrade.xyz.
3.3 Gmtrade.xyz is under no obligation to provide Rebates or Discounts to any Referrer or Trader, as all Rebates and Discounts are controlled by GT holders, and gmtrade.xyz has no direct control over the rewards. Rebates are not guaranteed, and the applicable rates may vary over time. Additionally, the Referral Terms and the Referral Program may be modified or terminated at any time without prior notice.
4. LIMITATION OF LIABILITY
4.1 Under no circumstances shall gmtrade.xyz be liable for any direct, indirect, incidental, punitive, special, consequential, or similar damages or liabilities, including but not limited to lost profits or revenue, data loss or corruption, business interruption, or reputational harm, arising out of or related to these Terms, your use or inability to use our Referral Program or websites, the content of our websites or any linked websites, or your provision of personally identifiable information to a backend service provider or any third party. This limitation applies regardless of whether the alleged liability is based on contract, tort, warranty, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages or if such damages were reasonably foreseeable.
4.2 In no event shall gmtrade.xyz's aggregate liability arising out of or in connection with the Site exceed five hundred Singapore Dollars (SGD 500.00), with this limit applying collectively to all claims, causes of action, and damages arising under these Terms.
5. INDEMNIFICATION
5.1 You agree to defend, indemnify, and hold harmless gmtrade.xyz and its affiliates, members, managers, employees, attorneys, representatives, suppliers, and contractors from and against any claims, demands, lawsuits, actions, proceedings, investigations, damages, losses, liabilities, costs, or expenses, including but not limited to reasonable attorneys' fees, arising out of or in connection with: (a) your access to, use of, or any conduct relating to the Site or Interface; (b) your violation of these Terms; (c) your misuse of the Site or Interface, or any smart contract or script related thereto; (d) your violation of any Applicable Laws; (e) your infringement of any third-party rights, including any intellectual property right, publicity, confidentiality, property, or privacy right; (f) your use of third-party products, services, or websites; (g) any misrepresentation you make; or (h) any conduct or content you provide.
5.2 Gmtrade.xyz reserves the right to assume, at your expense, the exclusive control and defense of any matter subject to indemnification by you, including but not limited to selecting and retaining counsel of its choice, or making any decisions regarding litigation strategy or settlement.
5.3 In connection with any indemnified matter, you agree to: (a) cooperate fully with gmtrade.xyz's defense; (b) provide all requested information and assistance; (c) not make any admissions or statements without our express prior written consent; (d) not settle any claim without our express prior written consent; and (e) promptly notify us of any relevant claims or proceedings.
5.4 If we are involved in a lawsuit related to our services to you under these Terms and involving a third party, we may require written assurances from you, including your commitment to defend, indemnify, and hold us harmless from the associated costs and liabilities. At our sole discretion, such written assurances may include the posting of a performance bond or other guarantees reasonably designed to ensure payment. Your failure to provide these assurances may be considered a breach of these Terms. The provisions shall survive any termination or cancellation of these Terms.
6. MODIFICATION, SUSPENSION, AND TERMINATION
6.1 The Referral Program operates independently of gmtrade.xyz and is ultimately controlled by the GT holders, with gmtrade.xyz having no direct operational control. As a result, the Referral Program may be modified, suspended, or disabled, in whole or in part, at any time, with or without prior notice to you, and for any reason whatsoever.
6.2 Gmtrade.xyz will not be liable for any losses suffered by you resulting from any modification to the Referral Program or from any modification, suspension, restriction, or termination of your access to all or any portion of the Interface or the Protocol, for any reason.
6.3 Gmtrade.xyz may revise these Terms from time to time. We will notify you by updating the date at the top of the Terms and maintaining a current version. The most current version of the Terms will always be at https://docs.gmtrade.xyz/legal/referral_terms. Any modifications will become effective immediately upon posting. By continuing to use the Referral Program after those revisions become effective, you agree to be bound by the revised Terms.
7. GOVERNING LAW
The interpretation and enforcement of these Terms, and any dispute related to these Terms, the Referral Program, the Site, or the Interface, will be governed by, construed, and enforced in accordance with the laws of the Commonwealth of The Bahamas, as applicable, without regard to its conflict of law provisions.
8. GENERAL PROVISIONS
8.1 These Terms, together with any other policies or agreements incorporated herein, constitute the entire and exclusive agreement between you and gmtrade.xyz concerning the subject matter addressed herein and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral. In the event that any matter is not addressed in these Terms, the User Terms shall apply. In the case of any conflict between these Terms and the User Terms, these Terms shall prevail. Any failure by us to exercise or enforce any right or privilege under these Terms shall not constitute a waiver of such right or privilege.
8.2 You must have the legal capacity to enter into these Terms and meet all eligibility requirements to use the Referral Program. By using the Referral Program, you represent and warrant that you satisfy these requirements and comply with all Applicable Laws. If you do not meet these requirements, you must not access the Referral Program. It is your responsibility to self-verify your eligibility and ensure ongoing compliance with Applicable Laws.
8.3 Nothing in these Terms shall be construed to create a relationship of principal and agent, employer and employee, partners or joint venturers. Each party shall ensure that the foregoing persons do not make any representations to the contrary, whether expressly, implicitly, by appearance, or through any other form of communication.
8.4 If any provision of these Terms is held to be invalid, void, or unenforceable for any reason, such provision shall not affect the validity or enforceability of any other provisions of these Terms, which means the remaining provisions shall remain in full force and effect. Gmtrade.xyz will amend or replace such provision with one that is valid and enforceable while striving to achieve, to the fullest extent possible, our original objectives and intent reflected in such provision.
8.5 You may not assign or transfer any right to use the Referral Program, or any of your rights or obligations under these Terms, without our express prior written consent, including by operation of law or in connection with any change of control. Any of your attempted assignment or transfer in violation of this section shall be null and void. We may assign or transfer any or all of our rights or obligations under these Terms, in whole or in part, without notice to you or obtaining your consent or approval.
8.6 Gmtrade.xyz will have no responsibility or liability for any failure or delay in performance of the Referral Program, the Site, or the Interface, or any loss or damage that you may incur, due to any circumstance or event beyond our reasonable control, including but not limited to: (a) natural disasters, acts of God, fire, flood, earthquake, or extraordinary weather conditions; (b) war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest; (c) government orders, laws, actions, restrictions, or requests; (d) embargoes or blockades; (e) national or regional emergencies; (f) strikes, labor stoppages or slowdowns, or other industrial disturbances; (g) telecommunications, power, or network failures; (h) pandemic or epidemic; (i) shortage of adequate power or transportation facilities; (j) blockchain network failures, forks, or congestion; (k) equipment or software malfunctions; or (l) other similar events beyond our reasonable control.
